Introduction

Welcome to Roksana Brzostek's Coaching Programs. By purchasing this program, you acknowledge and agree to these Terms and Conditions, which govern your participation. These terms ensure clarity and mutual understanding.

Program Overview

  • Program Name: Signature Offer Intensive

  • Program Description: This is a one-on-one coaching container aimed at enhancing your personal and professional growth by improving business performance and achieving specific business objectives. Sessions are conducted online and personalized to your unique needs.

  • Duration: The program extends over 8 weeks, with 5 x 60-minute coaching sessions, scheduled at mutually agreeable times.

  • Session Format: Sessions will be conducted via Google Meet or another agreed-upon online platform. Details on how to access sessions will be provided in advance.

Payment

  • Payment Options: Payment in full: £600. Payment plan: £300 x 2 months.

  • Payment Methods and Currency: Payment for the coaching program will be processed via PayPal or card. Clients are responsible for any transaction fees incurred during the payment process. All payments must be made in GBP (British Pounds). If paying from outside the UK, the exchange rate used will be the one provided by PayPal or Stripe at the time of payment. Clients may be subject to additional charges due to currency exchange rates or fees imposed by their financial institution.

  • Payment Terms: Services will commence once the initial payment is confirmed. Additional fees may apply for sessions beyond the scope of the standard program.

Scheduling and Rescheduling

  • Session Timing: Sessions are available Monday to Friday, between 10 am and 6 pm CET. No sessions will be scheduled on weekends, before 10 am, or after 6 pm CET.

  • Rescheduling: A minimum 24-hour written notice is required to reschedule sessions, except in cases of emergency. Missed or rescheduled calls must be completed within 1 month from the end of the contract, otherwise, they will be forfeited.

  • Missed Sessions: If you do not show up for a session, it is considered cancelled after 10 minutes. Consistent tardiness or failure to provide proper notice may result in session forfeiture.

  • Right to Modify or Cancel Sessions (by Coach): The Coach reserves the right to modify or cancel a session with at least 24 hours’ notice, in case of unforeseen personal or professional matters. The session will be rescheduled to a mutually convenient time or compensated with an extra session if necessary.

Communication

  • Availability: The Coach is available for messages or emails between 10 am and 6 pm CET, Monday to Friday, with responses within 48 business hours.

  • Additional Support: Requests for support outside scheduled sessions may incur additional fees. All pertinent communication should be via email or Messenger.

Refunds and Termination

  • Cooling-Off Period: You have 14 days from the date of purchase to withdraw from the program, in accordance with EU Consumer Rights Laws. Refunds will be issued for unused sessions, based on the remaining program weeks, minus a 50% administrative fee due to the immediate availability of all program materials.

  • Refunds and Cancellations: If you choose to cancel the program before completion, a refund will be given based on the number of sessions used. There are 5 coaching sessions in total, and refunds will be calculated at a rate of £300 per 5-session package, minus the value of any sessions already completed. For example, if 2 sessions have been used, the refund will be based on 3 remaining sessions (£180). Refunds are not available after the third session, unless in exceptional circumstances agreed by both parties.

  • Cancellation by Client: After the cooling-off period, you may cancel the program by providing 14 days' written notice. The refund will be calculated based on the unused sessions left.

  • Termination by Coach: The Coach may terminate services with 14 days' written notice. You will be refunded for any sessions not yet delivered.

Health and Well-being Disclaimer

  • The coaching services provided are not a substitute for professional medical or psychological advice. Clients are encouraged to seek medical advice or professional mental health services if needed. Coaching focuses on business strategies, mindset shifts, and personal growth within the context of entrepreneurship.

Confidentiality

  • Privacy: All client information and discussions are confidential, except as required by law or with your explicit consent. Non-identifiable information may be used for educational or marketing purposes. You acknowledge the confidentiality risks associated with online platforms.

Consent to Recordings

  • Recordings: Sessions will be recorded for review, reflection, and improvement. Recordings may be processed using AI note-taking software for service enhancement and are securely stored for use only by you and the Coach. You can withdraw consent at any time by providing written notice, leading to the cessation of recordings and deletion of existing ones if requested.

Responsibilities

  • Coach’s Responsibilities: To uphold ethical standards. Be punctual and available for all outlined services. Communicate schedule changes promptly. Offer tailored strategic business advice. Provide a supportive, non-judgmental environment. Facilitate skill development pertinent to your goals. Supply tools, homework, and resources for growth.

  • Client’s Responsibilities: Attend sessions punctually and prepared. Engage actively in the coaching process. Implement strategies discussed. Take responsibility for decisions and outcomes. Make payments on time. Be open to feedback and communicate challenges. Maintain a proactive approach to business development.

  • Client's Technology Responsibilities: Clients are responsible for ensuring they have the necessary technology (e.g., internet connection, webcam, microphone) to participate in coaching sessions. The Coach is not responsible for any technical issues on the client’s end that may prevent participation in a session.

  • Coach’s Technology Responsibilities: Coach is responsible for ensuring they have the necessary technology (e.g., internet connection, webcam, microphone) to participate in coaching sessions. In case where a session is delayed or cancelled due to technical difficulties, Coach will add extra time or compensate with an additional session, free of charge.

Disclaimer

  • Coaching vs. Professional Advice: Coaching does not replace professional advice from therapists, legal, financial, or medical professionals. The Coach does not guarantee specific outcomes but commits to providing quality service.

  • Results Disclaimer: Success depends on various factors including your commitment. No guarantees are made regarding specific results.

  • No Warranty: The effectiveness of coaching services is not warranted, and they are used at your own risk.

Intellectual Property and Proprietary Information

  • Use of Materials: All coaching materials are for your personal use only. Sharing, copying, or distributing without written consent is prohibited.

  • Proprietary Information: Methods, tools, and frameworks shared are the Coach's property and should not be disclosed without permission.

  • Intellectual Property (IP): All materials, content, frameworks, and tools provided during the coaching program are the intellectual property of the Coach. Clients are granted a limited, non-transferable license to use the materials for personal, non-commercial purposes only. Clients are not permitted to resell, distribute, or share any content provided as part of the coaching program.

Limited Liability

  • Liability: The Coach's liability is limited to the amount paid for services rendered. No liability for indirect damages or lack of results.

  • Limitation of Liability for External Tools: The Coach is not responsible for any issues arising from third-party tools, software, or platforms that may be recommended during the coaching program. This includes, but is not limited to, technical difficulties, subscription issues, or service outages. It is the client’s responsibility to ensure that they have access to and understand the tools or platforms being used.

Non-Solicitation Clause

  • Restriction: For six months post-termination, you agree not to solicit or engage with the Coach's clients, customers, or employees for similar services.

Non-Disclosure & Non-Disparagement Agreement

  • Confidential Information: As part of the coaching program, the Coach may share proprietary business information, materials, strategies, or insights with you. You agree to treat all information disclosed during the coaching sessions as confidential. This includes but is not limited to business strategies, marketing plans, client information, trade secrets, intellectual property, and any other confidential material shared in any form (oral, written, or electronic).

  • Obligation of Confidentiality: You agree to: Keep all shared information confidential and not disclose it to third parties without the prior written consent of the Coach. Use the confidential information solely for the purpose of the coaching relationship and not for personal gain or for the benefit of third parties. Take all reasonable steps to protect the confidentiality of the shared materials.

  • Non-Disparagement: You agree not to make any disparaging or harmful statements, written or oral, that would damage the reputation of the Coach, their business, or any affiliates, both during and after the term of this agreement. This includes comments, reviews, or public statements made in any forum (social media, blogs, forums, etc.) that could be considered defamatory, malicious, or damaging to the Coach’s brand. If any dissatisfaction or dispute arises during or after the coaching relationship, both parties agree to first attempt to resolve the issue amicably through a direct and private conversation. If the issue cannot be resolved through this informal conversation, then further steps such as mediation or legal action may be pursued. The goal is to handle conflicts in a constructive manner before resorting to any public or negative statements that could harm either party's reputation. Exceptions: The Non-Disparagement Clause does not restrict you from making statements required by law (e.g., in response to a legal subpoena or governmental inquiry) or from speaking to a legal professional or authority in the context of a dispute.

Dispute Resolution

  • Mediation & Arbitration: Disputes will first be attempted to be resolved through consultation, then mediation, and if unresolved, arbitration in the relevant jurisdiction.

Indemnification

  • Client Indemnity: You agree to indemnify the Coach against claims arising from your actions or decisions related to the coaching.

Force Majeure

  • Unforeseen Events: Neither party will be held liable for failure to perform obligations under this agreement due to events beyond their reasonable control, including but not limited to acts of God, war, pandemics, natural disasters, or technical issues. If such an event occurs, the party affected will notify the other and make reasonable efforts to reschedule or adjust accordingly.

Amendment and Waiver

  • Changes: Any amendment to this Agreement must be in writing and signed by both parties. Waiver of any breach does not waive future breaches.

Feedback and Program Adjustments

  • The Coach values client feedback and will work with the client to adjust the program content or pace as necessary to ensure that it aligns with the client's needs and goals. Clients are encouraged to share their thoughts and experiences throughout the program.

Data Protection and Privacy (GDPR Compliance)

  • All personal data collected during the course of the coaching program will be handled in accordance with GDPR regulations. The Coach will ensure that all client data is securely stored and not shared with third parties without the client’s explicit consent, except where required by law.

  • Personal data will be used solely for the purpose of delivering the coaching services and will not be shared or sold to any third-party marketers.

Non-Compete Agreement

  • Clients agree not to directly compete with the Coach’s core business offerings for a period of 12 months after completing the program. This includes offering the same or similar coaching services within the same niche, globally. The client agrees not to replicate or offer the proprietary materials learned through the coaching program to others.

Social Media and Online Behaviour

  • Clients are encouraged to represent their business and coaching experience positively and respectfully on social media and other public platforms. However, any reference to the Coach, the program, or any shared materials must be approved in advance by the Coach. Clients should maintain a professional and respectful tone in all interactions and communications related to the coaching program.

Entire Agreement

  • Inclusive Terms: This document constitutes the entire agreement between you and the Coach, superseding all prior discussions.

Duty to Read

  • Acknowledgment: You acknowledge that you have read, understood, and agree to be bound by these terms.

Testimonial

  • Requirement: A testimonial for marketing purposes is requested upon completion of the program. You may choose to remain anonymous if desired. Permission will be sought before sharing identifiable information, ensuring your privacy and safety are respected.

Governing Law

  • Jurisdiction: This agreement is governed by the laws of the European Union and the relevant jurisdiction of the Coach's residence.

By purchasing the program, you agree to these Terms and Conditions.
